Özet:ÖZET Genel kurul, anonim ortaklığa yön veren, pay sahiplerinin yönetime katılmalarını sağlayan en önemli organlardan biridir. Genel kurulun toplanıp sağlıklı bir karar alabilmesi için öncelikle, usulüne uygun olarak pay sahiplerinin toplantıdan haberdar edilmesi gerekir. Bu nedenle çalışmamızın birinci bölümünde, genel kurul toplantısının çağrı usulü incelenmiştir. ikinci bölümde genel kurul toplantısına katılma ve oy hakkının kullanılması ele alınmıştır. Burada genel kurul toplantısına katılma hakkı ve bu hakkın yerine getirilmesi için gerekli şartlar tespit edilmiştir.Ayrıca oy hakkının tespiti ile oy hakkının kullanılma şekilleri de bu bölümde yer almıştır. Üçüncü bölümde genel kurul toplantısının icrası ve karar alınma aşaması incelenmiştir. Burada toplantıya katılanların tespit edildiği hazirun cetveli ve toplantıyı idare eden divan teşkilatının oluşumu ve toplantıdaki görevleri ortaya konulmuştur. Ayrıca toplantı ve karar yeter sayıları ile pay sahiplerinin toplantı sırasındaki hakları, bu hakların kullanıma şekli ile toplantı düzeni de bu bölümde yer alan konulardandır. Nihayet genel kurul kararının alınması ve toplantı sonrası yapılacak işlemler de üçüncü bölümde yer almaktadır.SUMMARY General assemlby is one of the most important organs not only provides stockholders to take part in management but directs the joint stock corporation as well. Stockholders must be informed of the meeting in a suitable way in order to take a reliable decision to the general assembly meeting. Therefore, In the first part of this thesis, it was investigated that the way of the general assembly's invitation. In the second part, it was investigated that the use of rights to participate to the general assembly meeting and the right to voting. In this part, the right to participate to the general assembly and also the styles of using the right to vote were determined. In the third part of this study, it was examined both the stages of the taking a decision and execution of the General assembly meeting. Attendent list that determine the people who take part in meeting and formation and duties of the Council of State that direct the meeting were put out. Furthermore, the rights of the stockholders during the meeting, quorum and order of meeting were examined. Finaly, the transactions made after the general assembly were examined in this section.
